GE铁路业务与西屋制动合并，中车、西门子－阿尔斯通、庞巴迪、GE－西屋重塑世界轨交新格局

2018年5月21日最新消息：通用电气（GE）与西屋制动（WAB）就合并铁路业务达成一致，交易估值约111亿美元。路透社最先报道了知情人士消息，稍后两家公司证实了合并交易。

通用电气（GE）铁路(运输)板块主要是研制交付铁路机车，而铁路设备生产商西屋制动（WAB）也是全球轨道交通装备巨头之一，曾在2016年收购了法国（France）铁路设备生产商–法维莱（Faiveley-Transport-SA）51%股权，目前市值为92亿美元，生产机车、货车和客运车辆的设备等，两者强强联合影响深远，这是继西门子阿尔斯通合并铁路业务后，行业又一次大洗牌。

根据这项合并协议的条款，通用电气将在交易完成时获得29亿美元的现金，公司及股东则将获得合并后公司的50.1%所有者权益，WAB则持有剩余权益。作为这项交易的一部分内容，通用电气将向西屋制动出售GE-Transportation的部分业务，完成向通用电气股东剥离GE-Transportation部分业务的交易，随后再将这个部门与西屋制动旗下的一家全资子公司进行合并。

一旦交易完成，则通用电气的股东将持有合并后公司的40.2%股权，通用电气本身则将持有9.9%股权，交割预计在2019初完成，预计新合并公司营收可达80亿美元。

这将是去年8月通用电气首席执行官John-Flannery上任以来进行的最大一笔并购交易。今年截至目前为止，通用电气的股价已经累计下跌了14.2%。Flannery上月在通用电气年度股东大会上表示，该公司“敏锐地意识到去年业绩不佳和股息削减所带来的痛苦”，所以早在去年，作为新领导人，他概述了一份重组计划，提出要整合铁路板块等业务。通用电气2016财年（截至2016年12月）的铁路/运输板块业务销售额为47.13亿美元，同比下降21％，营业利润为10.64亿美元，下降16％，业利润率为23％，虽维持了较高收益，但盈利依赖于在新兴市场国家内燃机车业务，还要和中国中车、西门子、阿尔斯通等展开激烈竞争，有观点认为其中长期增长潜力有限，寻找合作伙伴，将其铁路板块业务剥离或出售合并成为了新的发展策略。

GE Confirms $11.1 Billion Transportation Merger With Wabtec

General Electric Co.  (GE) and Wabtec Corp. (WAB) agreed merger terms Monday to a $11.1 billion deal that will combine the transport operations of the two U.S.-based companies.

The deal, first reported by Reuters and later confirmed by both companies, will see GE receiving $2.9 billion in cash from Westinghouse Air Brake Technologies Corp., also known as Wabtec as the group's combine to create a transportation group with revenues of $8 billion. GE shareholders will hold around 50.1% of the combined group, the companies said, and will maintain the right to grow that ownership going forward.

The resulting company will have approximately $8 billion in revenues, the companies said. The transaction is expected to close in early 2019.
